Terms and Conditions

1. About these Terms

These Terms and Conditions ("Terms") govern the provision of services by A B S (UK) T/A Webnex ("we", "us", "Webnex") to you ("you", "Customer").

By placing an order, making a payment, or using any of our services, you agree to be bound by these Terms.

2. Services we provide

2.1 Website Development & Setup

• Custom website design and build using the DashNex platform
• One-time setup fee (£127) includes domain registration (1 year), SSL certificate, mobile-responsive design, and basic content integration
• You own the final site and content (subject to clause 8 – Intellectual Property)

2.2 Hosting & Maintenance Plans

• Ongoing monthly plans (Business: £47–£120 / Student: £17–£27)
• Includes secure hosting, SSL renewal, security monitoring, software updates, backups, uptime monitoring and priority support
• Plans auto-renew monthly unless cancelled

2.3 Preview Links & Access

Temporary preview links are provided during development. Access codes are confidential – do not share them publicly.

3. Pricing & Payment

• All prices are in GBP and exclude VAT unless stated otherwise
• One-time setup fee (£127) is payable upfront and non-refundable after work commences
• Monthly fees are charged via Stripe on the same date each month
• Late payments may incur a £25 admin fee and/or suspension of services after 7 days
• We reserve the right to increase prices with 30 days' written notice

4. Your Responsibilities

• Provide accurate information and content in a timely manner
• Ensure all content you supply does not infringe third-party rights
• Not use the site for illegal, defamatory, or harmful purposes
• Keep login credentials and preview codes secure
• Notify us immediately of any unauthorised access

5. Our Responsibilities

• Deliver services with reasonable skill and care
• Maintain 99.9% hosting uptime (excluding scheduled maintenance)
• Implement reasonable security measures
• Provide support via email (response within 48 hours, usually faster)

7. Refunds & Chargebacks

Due to the custom nature of our services, setup fees and partial hosting periods are non-refundable.

Chargebacks or disputes raised without first contacting us may result in immediate suspension of services.

8. Intellectual Property

• You retain ownership of content you provide
• We retain ownership of pre-existing code, templates, and tools unless otherwise agreed
• You are granted a non-exclusive licence to use our platform code solely for your site
• We may showcase your site in our portfolio unless you opt out in writing

9. Liability

Our total liability under these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for:

• Loss of profits, business, data, or indirect/consequential loss
• Loss caused by your failure to keep credentials secure
• Downtime caused by third-party providers (beyond our reasonable control)

10. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (e.g. natural disasters, war, government action, major internet outages).

11. Governing Law & Disputes

These Terms are governed by the law of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
